Terms & Conditions

Last updated: July 10, 2026

These Terms and Conditions of Use (“Terms”) are entered into by and between you and Nicole Laino, doing business as Nicole Laino Coaching (“Company,” “we,” or “us”). Together with our Privacy Policy, Disclaimer, Refunds & Cancellations policy, and any program- or product-specific terms (each incorporated by reference), they govern your use of nicolelaino.com and any subdomains and checkout (the “Website”), including all materials and services offered on it.

By accessing or using the Website, you agree to be bound by these Terms. Purchases also require you to affirmatively accept the applicable terms at checkout. If you do not agree, do not use the Website.

Incorporated Policies

Your use of the Website is also subject to our Privacy Policy, Disclaimer, and Refunds & Cancellations policy, and — where you purchase a specific program or product — the terms for that offer. Each is incorporated into these Terms.

No Use by Minors

You must be 18 or older and have authority to enter into these Terms. The Website is not for anyone under 18.

Lawful Purposes

You agree to use the Website only for lawful purposes and in compliance with these Terms. You are financially responsible for all purchases made through the Website by you or on your behalf. You will not post or transmit anything that infringes others’ rights or that is unlawful, threatening, abusive, defamatory, invasive of privacy, obscene, or otherwise objectionable.

Free & Gated Content

We may provide resources in exchange for your email address (“Gated Content”). We grant you a limited, personal, non-exclusive, non-transferable license to use Gated Content for your own personal or internal business use. You may not modify, copy, reproduce, create derivative works from, reverse engineer, sell, redistribute, or build competing products from it.

Material You Submit

By submitting artwork, photos, written works, feedback, reviews, or other media (“Submissions”), you grant us a worldwide, non-exclusive, irrevocable license to use, copy, distribute, display, reproduce, edit, translate, and reformat your Submission for promotional, business, and marketing purposes, and to publish your name with it. You retain your underlying rights. You represent that you own or control the rights to your Submission and that its use will not violate any law or third-party right, and you agree to hold us harmless from claims arising out of your Submissions.

Our Intellectual Property

The Website and its content — including text, graphics, logos, images, video, designs, trademarks, and the compilation of all content — are owned by us or our licensors and protected by law. You are granted a non-exclusive, non-transferable, revocable license to access and use the Website and its downloadable resources (the “Content”) strictly under these Terms. You may not modify, publish, transmit, reverse engineer, sell, create derivative works from, distribute, or otherwise exploit any Content, in whole or in part, without our prior written consent. The Content is not for resale, and you acquire no ownership rights in it. Our names, logos, and marks may not be used without our written permission.

No AI training. You may not use any content, resources, or materials from this Website to train, fine-tune, or develop any AI model or automated system (including custom GPTs, chatbots, datasets, embeddings, or similar tools), and you may not allow any third party to do so.

No Warranties & No Guarantees

We provide our services and materials on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific result, including any financial or business outcome. Materials are for educational and informational purposes, and you are responsible for how you apply them.

No Guarantee of Availability

Your use of the Website may be subject to interruption or delay, and we may withdraw or amend the Website or any service at our discretion without notice. We do not warrant that the Website will be error-free, uninterrupted, or free of defects, and we are not liable if it becomes unavailable. Information on the Website may change and we do not warrant that it is accurate, complete, or current.

Malicious Code & Security

Although we work to prevent it, we do not guarantee the Website is free of viruses or malicious code, and we are not liable for damage attributable to it; you are responsible for your own security measures. You acknowledge the inherent risk of transmitting information over the internet and do so at your own risk.

Limitation of Liability

To the fullest extent permitted by law, the Company will not be liable to you or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of our website, products, or services, even if advised of the possibility of such damages. This does not affect any liability that cannot be excluded or limited under applicable law.

Maximum Damages

Our entire maximum liability and your sole remedy for any claim shall be limited to the actual amount you paid to the Company for any products or services you have purchased from us.

Third-Party Resources

The Website may link to third-party sites we do not control. We are not responsible for their content, availability, or practices, and links do not imply endorsement. You use them at your own risk. Guest content reflects the views of the third party, not ours.

Indemnification

You agree to indemnify and hold harmless the Company and its owner and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of our products or services, or your violation of any law or third-party right.

Governing Law & Dispute Resolution

These Terms and the parties’ relationship are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, except where your local mandatory consumer-protection law provides otherwise.

Informal resolution first. Before starting arbitration, you agree to email support@nicolelaino.me describing the dispute and to give us 30 days to resolve it informally.

Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or your purchase will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be held in Travis County, Texas, or by videoconference at the consumer’s option. Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. You and the Company each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

Small-claims carve-out. Either party may instead bring an individual claim in a small-claims court of competent jurisdiction, so long as it remains in that court and proceeds only on an individual basis.

Equitable relief. Nothing here prevents either party from seeking injunctive or equitable relief in court to protect intellectual property or confidential information. If the class-action waiver is found unenforceable as to a particular claim, that claim alone will proceed in court. This section does not apply to the extent prohibited by your local mandatory consumer law.

Force Majeure

We will not be liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, natural disasters, fire, flood, cyber attacks, terrorism, civil unrest, epidemic or pandemic, labor disputes, supply-chain or telecommunications failures, or power outages.

Changes to These Terms

We may update these Terms from time to time. The “Last updated” date shows the latest version. Changes are effective when posted, and your continued use or participation constitutes acceptance of the updated Terms.

Notices

We may provide notice to you by emailing the address you provided or by posting to the website. Email notices are effective when sent; posted notices are effective when posted.

Severability & No Waiver

If any provision is held invalid or unenforceable, the remaining provisions stay in effect. Our failure to enforce any right or provision is not a waiver of it.

Transfer & Assignment

You may not transfer or assign your rights under these Terms without our prior written consent.

Entire Agreement

These Terms, together with any document they reference, are the entire agreement between you and the Company regarding their subject matter and supersede all prior agreements. The Company reserves all rights not expressly granted.
